Tax Associate

The Tax practice group in Dow Lohnes’ Washington, D.C. office is seeking a lateral associate with one to three years of relevant experience for its sophisticated and dynamic tax practice. The group’s transactional and tax controversy practices assist clients rooted primarily in the communications, media, information, technology, and higher education industries. In addition to working in the transactional and tax controversy areas, the ideal candidate would be interested in being exposed to several different tax disciplines, including the taxation of debt instruments and charitable organizations and the tax aspects of multi-generational estate planning.

Candidates should have strong academic credentials and research, analytical, and writing skills, as well as the capacity to think creatively to solve problems. An LL.M. in Taxation is preferred, but not required. Competitive compensation, training and benefits provided.

Media and Information Technologies Associate

The Media and Information Technologies (MIT) practice group at Dow Lohnes in Washington, DC is looking for an associate with a corporate background specializing in commercial contracts and business transactions with at least 3 to 5 years of relevant experience. The MIT group practices at the forefront of the rapidly transforming media and entertainment industries and supports some of the most exciting ventures on the Internet.

The associate will work closely with senior lawyers to review, draft, negotiate and advise on complex technology contracts and licensing and distribution agreements for media and entertainment clients with a focus on programming affiliation agreements, technology licenses, and content distribution contracts over multiple platforms. This position offers sophisticated legal work and significant opportunities to manage projects and work directly with clients.

Knowledge of intellectual property law and specific experience drafting technology licenses and service level agreements is preferred. Strong commercial contract drafting skills, superb academic credentials, a facility with technology, strong writing and communication skills, and the ability to think creatively are required for this position. Corporate Associate

The Business Transactions & Corporate practice group at Dow Lohnes in Washington, DC seeks an associate with 2-3 years of experience in business transactions and general corporate law. Dow Lohnes serves a diverse nationwide clientele comprised of major media, communications, entertainment, content, online and technology companies as well as leading financial and higher education institutions. The successful candidate will work on a wide variety of interesting and sophisticated transactional and commercial matters involving corporate governance, mergers and acquisitions, public and private securities offerings, loan and financing transactions, joint ventures, private equity and venture capital investments.

Qualified candidates for this position must have an outstanding academic background and superior communications, drafting, analytical and negotiation skills. Candidates must be willing to take on significant responsibility for deal management and work product, be diligent, pro-active, team-oriented and committed to providing the highest quality legal service. Prior experience in a large law firm strongly preferred. Candidates must be admitted to the DC bar or eligible to waive-in. Competitive compensation, training and benefits will be provided.
