Corporate Associate

The Business Transactions & Corporate practice group at Dow Lohnes in Washington, DC seeks an associate with 2-3 years of experience in business transactions and general corporate law. Dow Lohnes serves a diverse nationwide clientele comprised of major media, communications, entertainment, content, online and technology companies as well as leading financial and higher education institutions. The successful candidate will work on a wide variety of interesting and sophisticated transactional and commercial matters involving corporate governance, mergers and acquisitions, public and private securities offerings, loan and financing transactions, joint ventures, private equity and venture capital investments.

Qualified candidates for this position must have an outstanding academic background and superior communications, drafting, analytical and negotiation skills. Candidates must be willing to take on significant responsibility for deal management and work product, be diligent, pro-active, team-oriented and committed to providing the highest quality legal service. IP Associate for Media, Entertainment and Technology Practice

The Media and Information Technologies (MIT) practice group at Dow Lohnes in Washington, DC is looking for a talented intellectual property, commercial contracts and licensing associate with 2 to 4 years of relevant experience. The MIT group practices at the forefront of the rapidly transforming media and entertainment industries and supports some of the most exciting ventures on the Internet.

The associate will be responsible for counseling clients on a broad range of technology and intellectual property issues, including music licensing. The associate also will work closely with senior lawyers to review, draft, negotiate and advise clients on complex technology contracts and content licensing and distribution agreements for media, entertainment and high tech clients, with a focus on cable programming agreements, technology licenses and contracts involving distribution of content over multiple platforms.

Knowledge of copyright law and experience drafting technology licenses and service level agreements is preferred. Strong commercial contract drafting skills, superb academic credentials, facility with technology, strong written and oral communication skills and the ability to think creatively are required. Risk Management Attorney

The Risk Management team at Dow Lohnes in Washington, DC seeks an Attorney with at least three years of experience, preferably in the areas of law firm risk management, compliance, ethics or litigation. Dow Lohnes is a mid-sized firm that serves a diverse nationwide clientele comprised of major media, communications, entertainment, content, online and technology companies as well as leading higher education institutions. The successful candidate will report to the firm’s General Counsel and focus on firm-wide conflicts, professional responsibility, litigation supervision and general risk management.

The successful candidate’s primary responsibilities will be to analyze conflict issues, draft conflict waivers and engagement letters, research issues of professional responsibility, insurance and risk management practices, review firm contracts, outside counsel guidelines and the like and assist with the supervision of litigation matters. The attorney will be expected to keep up with professional responsibility issues and decisions as well as industry best practices; and to coordinate with the firm’s risk management attorneys to manage ethics issues, devise and implement solutions to those issues, advise on client engagement and respond to ethics questions from attorneys and staff. The attorney will also assist with the insurance renewal process and act as a liaison with the firm’s insurance carrier regarding open litigation and claims.

Candidates must have excellent written and oral communication skills, be diligent and team-oriented and be committed to providing high-quality legal services. Experience in the areas of law firm risk management or litigation supervision is a plus. Candidates must be admitted or eligible to waive-in to the D.C. bar.

This is an alternative track position and is not partnership-eligible. The position offers high-quality, interesting work, with flexibility in work schedule. The position may be structured as a part-time arrangement for the right candidate. We offer competitive compensation and benefits.
