Our real estate lawyers provide local, regional and national representation for clients whose businesses are either directly in the real estate industry or include a material real estate component. This representation includes assistance with environmental and bankruptcy issues relevant to those areas.
A major area for Dow Lohnes real estate lawyers is representation of bank commercial real estate financing divisions with respect to secured lending. This representation includes new loan and loan workouts for retail shopping centers, apartment complexes, office complexes and industrial projects. Dow Lohnes has represented consortiums of lenders for rehabilitation of downtown Atlanta residential/office projects. It also has represented financial institutions as letter of credit providers on bond financings to construct and/or renovate low-income housing projects. In addition to regional representation of lenders, Dow Lohnes provides local assistance for out-of-state lenders in secured lending transactions.
In addition to representing banks, Dow Lohnes's real estate lawyers represent regional developers on all aspects of the acquisition, development and operation of retail shopping centers. This representation includes negotiation of construction loans, mini-permanent loans and permanent loans for the financing of the projects. Dow Lohnes also provides assistance in connection with Section 1031 tax-free exchanges involving these income-producing properties. In addition to the shopping centers, Dow Lohnes provides assistance to owners of franchises in the development and operation of real estate within their franchise areas.
Within the firm's commercial real estate practice another specialty practice is the negotiation of leases both for landlords and tenants. In particular, Dow Lohnes has represented numerous landlords and tenants on credit or "build-to-suit" leases for facilities. Dow Lohnes has represented large franchisees in the expansion of leased sites in markets such as Philadelphia, Pennsylvania, Rochester, New York, Syracuse, New York, and Atlanta, Georgia.
The firm's real estate lawyers also represent communications and media companies nationally in all aspects of the purchase, sale, development and operation of their communications infrastructure, including negotiation of purchase and sale agreements, construction contracts, easements, building access agreements and related real estate documents. In particular, Dow Lohnes has assisted media companies in negotiations with owners of multiple sites (such as billboard owners, tower companies and municipalities) to develop instant infrastructure for those clients. In addition, Dow Lohnes has significant experience representing media company clients in negotiations on a wide array of television and radio studio construction-oriented contracts, such as design-build construction contracts, equipment integration agreements, studio design contracts and furniture and other vendor agreements.
Dow Lohnes's real estate lawyers also represent ranches and agricultural and hunting properties in, among other places, Texas, South Carolina, Georgia, Alabama, Montana, Colorado and Hawaii. This includes representation on all aspects from acquisitions to operations. As a part of this representation, Dow Lohnes advises clients in the placement of conservation easements to enhance and preserve the ranch properties while providing tax benefits to the owners.
The firm also has represented owners of hospital and medical-related facilities in the buying and selling of those real estate interests. In addition, Dow Lohnes provides assistance with leasing of medical facilities including advice on conversion of medical properties to other income-producing uses.
