  • We represented Cox Enterprises and its AutoTrader.com subsidiary in connection with its acquisition of Kelley Blue Book Co., Inc., the largest new and used car valuation company in the United States.
  • We represented Cox Enterprises and its AutoTrader.com subsidiary in connection with its acquisition of vAuto, Inc., a leading provider of advanced software tools for used vehicle management, pricing and inventory optimization.
  • We represented Cox Enterprises and its AutoTrader.com subsidiary in connection with its acquisition of the business of HomeNet Automotive, a leading provider of online inventory management and merchandising solutions for auto dealers.
  • We represented Harpo, Inc. and Oprah Winfrey in connection the contribution of oprah.com to a 50/50 joint venture with Discovery Communications to form a cable television network, OWN: The Oprah Winfrey Network, and online presence.
  • We represented Hasbro, Inc. in connection with its formation of a 50/50 joint venture with Discovery Communications to form The Hub children's television network, including all aspects related to the network's website and online presence.
  • We represented a consortium of major cable television system operators (Comcast Corporation, Time Warner Inc., Cox Communications and Advance/Newhouse) in connection with the establishment of a joint venture with Sprint Nextel Corp. to integrate wireless phone services with the cable television operators’ other video, voice and data services.
  • We represented Cox Communications in connection with its investment in TV Works, LLC, a joint venture co-owned by Comcast Corporation and Cox, and the joint venture’s acquisition of the North American business of Liberate Technologies, a leading provider of software for digital cable systems, and related cross-license arrangements with Liberate Technologies. We also represented Cox in connection with TV Works’ acquisition of assets from MetaTV, Inc.
  • We represented Sedna Patent Services, LLC (formerly known as TVGateway, LLC) in connection with the acquisition of several intellectual property portfolios, including portfolios from Discovery Communications and Predictive Media Corporation and WorldGate Communications, Inc.
  • We represented Backfence Inc., which develops local community websites, in connection with its start-up activities and initial financings.
  • We represented MCG Capital Corp. in connection with the recapitalization of BiznessOnline.com, Inc. (currently known as Cleartel Communications, Inc.), a provider of local phone service and Internet access to business and residential customers.
  • We represented ADS Distribution Systems, a developer of point-of-purchase software for retailers, in connection with its Series A preferred stock financing.
  • We advised Insight Communications in connection with its investment in AgileTV Corporation, which is developing a speech recognition technology for digital set-top boxes, and related bridge financing arrangements as part of AgileTV’s recapitalization transactions.
  • We represented InFlow, a provider of data center hosting and infrastructure management services, in connection with its acquisition of a Charlotte, North Carolina data center and its related businesses and assets from i-bridge, LLC.
  • We represented Nextel Communications in its negotiations with other wireless telephone carriers in connection with the formation and operation of a new venture to provide directory assistance within the wireless telephone industry.
  • We represented Media General in connection with its initial investment and follow-on investment in NTN, a publicly traded company to whom Media General licenses proprietary game content, and its related licensing arrangements.
  • We represented Insight Interactive, a subsidiary of Insight Communications, in connection with its purchase of the remaining equity interest in SourceSuite LLC, which operates an interactive digital cable TV business.
  • We represented Media General in connection with the acquisition of the assets of Boxerjam, Inc., a producer and provider of games and puzzles across multiple platforms, from Comerica Bank.
