Mergers & Acquisitions

Our corporate attorneys have the expertise and resources to guide clients through complex negotiations and coordinate multiparty transactions from inception to closing, as well as the agility to handle smaller transactions. The firm has played a major role in many of the largest media and communications transactions. Representing both purchasers and sellers, our attorneys utilize a multidisciplinary approach working with the firm’s tax, regulatory, antitrust, labor, employee benefits, real estate and media and information technology groups, to efficiently coordinate and creatively handle all aspects of the transaction.

Recent examples of our mergers and acquisitions practice include the following:

  • We represented Oak Hill Capital Partners in connection with its successful bid to acquire nine television stations from The New York Times Company for $575 million.

  • We represented Cox Communications in connection with the $2.55 billion sale of cable television systems serving approximately 950,000 subscribers in eight states to Suddenlink Communications, a private equity group formed by Goldman Sachs, and Oaktree Capital.

  • We represented Media General in connection with its acquisition from NBC Universal of four NBC owned and operated television stations in a cash transaction valued at approximately $600 million and in connection with its related divestitures of four CBS-affiliated television stations.

  • We represented Cox Enterprises, Inc. in connection with the division by Cox and Landmark Communications, Inc. of their 50/50 partnership in Trader Publishing Company, the nation’s leading producer of specialty title classified advertising publications.

  • We represented a portfolio company of investment funds managed by Boston Ventures and Alta Communications in connection with the $45 million sale of WBNG-TV, Binghamton, New York to Granite Broadcasting Corporation.

  • We represented Cox Communications in connection with its purchase of the Arizona cable systems of Cable America Corporation, representing approximately 35,000 subscribers.

  • We represented the owners of San Diego Golf Academy, a leading institution for golf industry professionals, in connection with the sale of San Diego Golf Academy to Education Corporation of America (Virginia College).

  • We are representing a portfolio company of investment funds managed by Boston Ventures and Alta Communications in connection with the $56 million sale of WTAJ-TV, Altoona, Pennsylvania to Nexstar Broadcasting, Inc.

  • We represented Cox Enterprises, Inc. and certain members of the Board of Directors of Digital Domain, Inc., a leading Hollywood special effects studio, in connection with the merger of Digital Domain with an affiliate of Wyndcrest Holdings.

  • We represented Cortiva Group, Inc. in connection with its acquisitions of the Brenneke School of Massage, the Humanities Center Institute, Muscular Therapy Institute, the Desert Institute of Healing Arts and numerous other massage therapy schools.

  • We represented Paxson Communications in connection with the restructuring of NBC’s investment in Paxson Communications and NBC’s option to acquire the stock in Paxson Communications held by Lowell W. Paxson.

  • We represented InterComm Holdings (owned by affiliates of Sandler Capital Management, Rifkin & Associates and DeutscheBank) in connection with the sale of the cable television system serving Trinidad & Tobago to Columbus Investments Inc.

  • We represented Backyard Broadcasting in connection with its purchase of five radio stations in South Dakota.

  • We represented MCG in connection with the sale of assets of Corporate Legal Times to Wicks Business Information, LLC.

  • We represented Nashville Broadcasting in connection with Sinclair’s exercise of its option to acquire certain assets of television station WNAB-TV, Nashville, Tennessee.

  • We represented Discover Media LLC in connection with its acquisition of Discover Magazine from a subsidiary of The Walt Disney Company.

  • We represented HarborPoint Media, LLC in connection with the sale of three Arkansas newspapers to Liberty Group Publishing.

  • We represented the management of Reichhold Investments BV in its acquisition of all of its outstanding stock from Dainippon Inc. & Chemicals, Inc. Reichhold manufactures unsaturated polyester resins for composites applications and supplies resins and other polymers for coating applications. It has operations in the United States, Canada, Mexico, Brazil, Europe and Africa.
