For-profit & Nonprofit Taxation

Dow Lohnes has a comprehensive, diverse national practice in federal, state and local tax matters, reflecting the varied nature of the firm’s domestic and foreign clients and their activities.  Engagements involve all areas of corporate, partnership, trust, and individual federal and state income taxation, as well as estate and gift taxation, sales and use taxation, employment taxation, the taxation of nonprofit entities, and the taxation of foreign entities and business activities.  Our postsecondary clients are counseled on the tax implications of mergers and acquisitions, joint ventures (domestic and international), transfer pricing, debt placement, derivatives and other sophisticated financial products, workouts, federal and state audits and administrative appeals, and tax litigation, as well as tax questions that arise in the day-to-day affairs of business. The tax practice also involves IRS and state private rulings, and federal and state legislation.

We are particularly adept at dealing with the tax consequences of large transactions on both selling and purchasing parties, with great breadth of experience in helping clients properly minimize the tax liabilities, and maximize the tax benefits, that can attend a transaction.

Dow Lohnes’s extensive nonprofit tax practice assists in the formation, operation, and restructuring of tax-exempt educational institutions and organizations, private foundations, public charities, and trade associations.  Our lawyers also address day to day tax issues including unrelated business income tax, lobbying, directors’ liability, deductibility of charitable contributions, and tax controversy issues.  Our lawyers are particularly experienced in the complex tax issues arising from nonprofit/for-profit ventures and interrelationships, including guiding our postsecondary clients through the formation of cutting edge “hybrid” structures that combine the regulatory and tax benefits of non-profit status with the capital formation capabilities of the for-profit sector.

Dow Lohnes’s tax controversy practice includes representation at all levels of the federal administrative and judicial system, as well as state courts and administrative agencies.  Through Dow Lohnes's affiliate, Dow Lohnes Price Tax Consulting Group LLC, we bring to our clients professionals trained in tax and financial accounting issues, especially as they relate to state and local taxes, transfer issues, tax planning, audits and appeals, and transactions, with particular emphasis on tax issues that arise from multi-jurisdictional operations. Given the considerable size of postsecondary transactions, we provide principals with personal tax planning services including the transfer of wealth through gift and estate planning, asset protection and the restructuring of business interests; these services are provided to individuals, including officers and owners of business entities, professional athletes and other high net worth individuals, including successive generations of their families.
